1.1. Welcome to the promtheon.io platform (hereinafter — "Promtheon", "Platform", "Service", "Website", "Web Application", "we", "us" or "our").
1.2. The Promtheon platform is a trademark of Individual Entrepreneur "Bunin Oleksandr Andriyovich", Identification number 3556706135, legal address: Ukraine, 03056, Kyiv city, Borshchagovska street, house 148, apartment 4-07PR.
1.3. These Terms of Use (Offer Agreement) are a legally binding agreement between Individual Entrepreneur "Bunin Oleksandr Andriyovich" and the user (hereinafter — "User", "You"), governing the procedure for accessing the website https://promtheon.io and using its services, including all related web pages, interfaces, mobile and desktop web applications, API and other functions (hereinafter — "Service").
1.4. By using the Service, creating an account, purchasing credits, subscribing or clicking the "Accept" button (or similar), You confirm that:
1.4.1. You have read and agree to these Terms.
1.4.2. You accept the Privacy Policy, Cookie Usage Policy and other documents posted on the promtheon.io site.
1.4.3. You have all necessary rights and powers to enter into this agreement on your own behalf or on behalf of the person you represent.
1.5. If You do not agree with any provision of these documents, You must stop using the Service.
2.1. The Promtheon platform provides users with access to an aggregator of various artificial intelligence (AI) models, including but not limited to text, image, video, audio, photo, three-dimensional object generation models and other types of generative and analytical models (hereinafter — "AI models").
2.2. Access to AI models is carried out through web interface, API or other technical means available on the site https://promtheon.io (hereinafter — "Service").
2.3. Promtheon acts as an aggregator and intermediary that provides users with the technical ability to interact with various external and internal AI models.
2.4. Individual AI models belong to third-party companies and developers who are their legal rights holders and suppliers of relevant technologies or APIs.
2.5. The use of such models is carried out on the basis of official contracts, public agreements, public offer contracts, terms of use, or public licenses between Individual Entrepreneur "Bunin Oleksandr Andriyovich" (owner of Promtheon) and relevant AI service providers.
2.6. All trademarks, logos, product names and technologies mentioned on the promtheon.io site belong to their respective owners and are used exclusively for informational and functional purposes within the aggregator's operation.
2.7. Promtheon does not claim or assume the existence of intellectual property rights to third-party AI models and is not responsible for the content, work results or behavior of such models.
2.8. Promtheon reserves the right to add, modify, suspend or remove any AI model at any time without prior notice to users.
2.9. The purpose of the Platform is to provide users with a single access point to modern generative and analytical AI models from various suppliers in a safe and legal form.
3.1. To use the Promtheon Service, you must be at least 13 years old.
By agreeing to these Terms, you confirm:
3.1.1. That you are at least 13 years old.
3.1.2. That you have not previously been blocked or removed from the Service.
3.1.3. That your registration and use of the Service comply with applicable law in your country or region.
3.2. If you are under 18 years old, you may use the Service only with the consent of a parent or legal guardian who is responsible for your actions.
3.3. If you use the Service on behalf of a legal entity, company or organization, you represent that you have all necessary authority to enter into this agreement on behalf of such entity and accept the obligation to comply with these Terms on its behalf.
3.4. Promtheon has the right to request confirmation of age or authority and suspend access in case of violations of this section.
4.0.1. We may use different payment services depending on country, currency, product, and integration availability, including (without limitation): Paddle (as a Merchant of Record, where applicable), Stripe, Monobank (JSC "Universal Bank"), LIQPAY (JSC CB "PrivatBank") and other PSPs. The specific provider used for a transaction is determined at checkout and is shown in the checkout window/receipt. The terms and privacy policy of the respective payment service apply in addition to these Terms.
4.1.1. If a payment is processed via Paddle, Paddle may act as the Merchant of Record for the relevant transaction. In such case, Paddle calculates and collects applicable taxes (including VAT/Sales Tax), processes payments and refunds, and issues receipts/tax documents.
4.1.2. Purchases processed by Paddle are additionally governed by Paddle's documents (including the Checkout Buyer Terms and Paddle Privacy Policy) as linked in the checkout window/receipt.
4.1.3. The final price displayed at checkout for such transactions may be determined by Paddle.
4.1.4. Subscription management, cancellation, and refund requests for transactions processed by Paddle must be made in accordance with Paddle's rules via the link in the receipt or through Paddle support.
4.1.5. Cryptocurrency payments are not used for transactions processed via Paddle.
4.2.1. Access to the Service or individual functions of the Promtheon Platform may require payment of prepaid credits (hereinafter — "Credits"), as well as payment of fees for payment processing or other transactional charges.
4.2.2. Before payment, the user is provided with the opportunity to familiarize themselves with tariffs, the number of Credits being purchased and the payment amount.
4.2.3. A User may request a refund within 14 days from the transaction confirmation. The conditions and grounds for a refund depend on the payment service that processed the payment.
4.2.4. If the payment was processed via Paddle, refund requests must be submitted through Paddle (the link is provided in the Paddle receipt/email) and are handled under Paddle's rules.
4.2.5. If the payment was not processed via Paddle, refund requests shall be submitted to support@promtheon.io; the availability of fee refunds and processing timelines depend on the rules of the relevant payment service.
4.2.6. Refunds are made to the same payment method used for the purchase, unless the rules of the respective payment service provide otherwise.
4.2.7. Cryptocurrency payments (if available for certain products) are final and non-refundable, except as expressly provided by the applicable payment service. Cryptocurrency cannot be used for purchases processed via Paddle.
4.3.1. All Credits are valid for 30, 31 days or 1 year depending on the tariff plan.
4.3.2. Upon expiration of the subscription or 365 days from the date of purchase, Promtheon has the right to cancel unused Credits. The expiry or cancellation of unused Credits does not limit the User's refund rights provided by the applicable payment service; for transactions processed via Paddle, Paddle's rules apply.
4.3.3. By purchasing Credits or a subscription, the user agrees to automatic renewal and automatic debiting of funds for the next period.
4.3.4. Payment for the next period occurs automatically using the selected payment method.
4.3.5. The user can cancel auto-renewal before the start of the next billing period. For subscriptions paid via Paddle, subscription management and cancellation are performed via the link in the Paddle receipt or in the Paddle customer portal.
Cancellation does not entail a refund for the current paid period.
4.4.1. All payments are processed through third-party payment services (PSP) that ensure transaction security.
4.4.2. Depending on the region and currency, processing may be performed by:
1. Stripe, Inc. — international fiat payments (USD, EUR, etc.);
2. Monobank (JSC "Universal Bank") — payments for Ukrainian users;
3. LIQPAY (PrivatBank) — online payments in hryvnia (UAH);
4. Paddle — international SaaS payments with taxation (VAT / Sales Tax);
5. Other payment services added by Promtheon without prior notice.
4.4.3. By paying for services, the user accepts the terms and privacy policy of the selected payment service.
4.4.4. Promtheon does not store or process user payment data — all transactions go through PSP using TLS/SSL, PCI DSS, 3-D Secure.
4.4.5. Responsibility for storing and securing payment data lies entirely with the payment provider.
4.4.6. The user confirms that the source of funds is legal and not related to illegal activities.
4.4.7. The User authorizes Individual Entrepreneur "Bunin Oleksandr Andriyovich" or Paddle (if Paddle processes the payment as the Merchant of Record for the relevant transaction) to debit amounts from the selected payment method within the selected plan/subscription and in accordance with the terms of the respective payment service.
4.5.1. Promtheon has the right to change service costs, Credit prices, tariffs and commissions at any time.
4.5.2. In case of cost changes or introduction of additional fees, Promtheon notifies users via e-mail, account notification or publication on the website.
4.5.3. Changes take effect from the beginning of the next billing period, unless otherwise specified.
4.5.4. A user who disagrees with the changes may cancel auto-renewal and stop using the Service.
4.5.5. Payments made before the changes take effect remain valid until the end of the paid period.
4.5.6. Continued use of the Service after the changes take effect means agreement with the new terms.
5.1.1. When using the Service, you may provide input data (Input) — texts, images, videos, audio, code and other materials.
The results of their processing by models are called output data (Output).
Collectively — this is User Content.
5.1.2. You retain ownership rights to your Input within the limits established by law.
5.1.3. Rights to Output are determined by the terms of the specific AI model from which it was obtained.

5.1.4. Promtheon strives to maintain up-to-date information about models, but allows for possible errors or outdated information.
5.1.5. Errors can be reported to support@promtheon.io.
5.1.6. Some models may use Input for training or maintain request logging.
The ability to opt-out is determined by the policy of the respective model.
5.1.7. Promtheon, where possible, disables data transmission for training to third-party models, but is not responsible for the policies of external providers.
5.2.1. By enabling request logging, the user grants Promtheon a non-exclusive, royalty-free, perpetual license to use their Content for technical and research purposes.
5.2.2. This license grants the right to:
1. Store, copy, transmit and modify Content for Service operation.
2. Use Content for internal analysis, testing and optimization.
3. Anonymize and aggregate data for statistical or commercial purposes.
4. Transfer anonymized data to Promtheon contractors.
5.2.3. Usage examples:
5.2.3.1. Storage and logging of requests and responses.
5.2.3.2. Debugging and improving AI models.
5.2.3.3. Using anonymized versions without user association.
5.2.4. Promtheon does not publish or sell Content in identifiable form, except as required by law.
5.3.1. When using chats, all transmitted information is automatically saved.
5.3.2. The user grants Promtheon a license to store, process and analyze chat content.
5.3.3. This license includes the right to:
1. Store and display chat content.
2. Analyze and anonymize data to improve the Service.
3. Use anonymized data for research and optimization.
4. Transfer data to contractors for technical support.
5.3.4. Examples:
5.3.4.1. Storage of messages and files.
5.3.4.2. Debugging and improving AI interaction.
5.3.4.3. Using anonymized versions of messages.
5.3.5. Promtheon does not distribute identifiable content, except as required by law.
5.5.1. The user bears full responsibility for Input and the consequences of its use.
5.5.2. The user confirms that:
1. They are the owner of the Input or have the necessary licenses.
2. Their Input does not violate the rights of third parties, including:
3. Content does not contain information that could expose Promtheon to liability.
5.6.1. Promtheon is not obligated to review or control User Content.
5.6.2. Promtheon has the right to remove or restrict access to any content without notice if it violates the Terms or law.
5.6.3. The user waives any claims against Promtheon related to content removal or moderation.
5.6.4. Promtheon is not responsible for:
1. User Content;
2. Actions of third-party services and AI models;
3. Losses caused by the use or publication of content.
5.6.5. Upon receiving notice of rights violation, Promtheon may remove content and block access.
5.6.6. The Platform does not support activities that infringe copyright.
5.7.1. Promtheon strives to correctly transmit information about the country of origin of requests.
However, technical inaccuracies are possible.
5.7.2. Such errors may affect the availability of certain models.
5.7.3. By using the Service, the user agrees that Promtheon is not responsible for errors in region determination.
6.1. The user undertakes not to perform the actions listed below.
Violation may result in account blocking and legal liability.
6.1.1. It is prohibited to use the Service:
1. For illegal purposes;
2. In violation of AI model terms or legislation;
3. To transmit or generate prohibited content (extremist, pornographic, defamatory, etc.).
6.2.1. It is prohibited to:
1. Use illegal sources of cryptocurrency;
2. Participate in fraudulent transactions;
3. Provide false payment information.
6.3.1. It is prohibited to:
1. Create a false identity or impersonate another person;
2. Create multiple accounts to bypass restrictions;
3. Use others' credentials without permission.
6.4.1. It is prohibited to develop, use or distribute:
1. Scripts, parsers, robots and scanners for data collection;
2. Means of bypassing protection or reverse engineering the Platform.
6.5.1. The user must not violate the intellectual property rights of third parties.
6.5.2. It is prohibited to use the Service to publish content that violates AI model licenses.
6.6.1. It is prohibited to:
1. Interfere with the operation of Promtheon servers or networks;
2. Distribute malware;
3. Send spam or phishing;
4. Collect personal data of other users;
5. Violate network policies and protocols.
6.7.1. It is prohibited to:
1. Impersonate a Promtheon employee;
2. Falsify age or origin of requests;
3. Gain unauthorized access to data;
4. Manipulate payment and bonus systems.
6.8.1. The user has no right to:
1. Sell, transfer or rent their account;
2. Transfer access to API or functions without Promtheon's consent.
6.9.1. Any attempt to perform the above actions, or assist third parties in performing them, is considered a violation and leads to immediate account blocking.
7.1. The user may terminate use of the Service and delete their Promtheon account at any time by sending a written request to: support@promtheon.io.
7.2. When deleting an account, the user is obligated to pay all outstanding fees and obligations incurred prior to account termination.
7.3. In case of violation of any provision of these Terms, the user's right to use the Service is automatically terminated, and all unused credits are forfeited without refund.
7.4. Promtheon reserves the right to:
7.4.1. Suspend or terminate user access to the Service at any time and for any reason, with or without notice.
7.4.2. Modify, restrict, suspend or completely discontinue the Service, including individual features, temporarily or permanently, without prior notice.
7.5. Promtheon is not responsible for the consequences of such actions, including loss of access, data, content or credits.
7.6. If an account was deleted for reasons not related to Terms violations, remaining balance credits may be refunded within 30 calendar days of deletion, to the same payment method used for purchase.
8.1.1. The user is required to review Promtheon's Privacy Policy, which describes the procedures for collecting, storing, processing and protecting personal data.
8.1.2. The Privacy Policy is an integral part of this agreement and is available on the promtheon.io website.
8.1.3. By using the Service, the user confirms that they have reviewed and agree to the Privacy Policy.
8.2.1. Use of certain Service features may be governed by additional terms, policies and agreements, including:
1. End User License Agreements (EULA);
2. API access rules;
3. AI model usage instructions;
4. Special terms for subscriptions and paid features.
8.2.2. All such documents are considered incorporated into this agreement and have equal legal force.
9.1. Promtheon reserves the right to modify these Terms at any time.
9.2. If changes materially affect user rights, Promtheon will notify users no later than 30 calendar days before the changes take effect.
9.3. Notification will be sent via e-mail, Service interface or other electronic means of communication.
9.4. By continuing to use the Service after changes take effect, the user confirms agreement with the updated version of the Terms.
9.5. If the user does not agree with the changes, they must stop using the Service and delete their account.
9.6. All disputes are considered in accordance with the version of the Terms in effect at the time the dispute arose.
10.1. The Promtheon Service, including software code, design, interface, logo, databases, texts, graphics, API and documentation (hereinafter — "Materials"), is protected by Ukrainian laws and international agreements on intellectual property protection.
10.2. All rights to the Materials belong to Individual Entrepreneur "Bunin Oleksandr Andriyovich" or its licensors and partners.
10.3. The user has no right without written permission from Promtheon to:
10.3.1. Copy, modify, distribute, decompile or publish the Materials.
10.3.2. Use the logo, interface elements or trademarks of Promtheon.
10.3.3. Create derivative works based on the Materials.
10.4. All rights not expressly granted to the user are reserved by Promtheon.
11.1. If the user provides ideas, reviews, suggestions or comments (hereinafter — "Feedback") regarding improvement of the Service, they automatically grant Promtheon:
11.1.1. A perpetual, royalty-free, non-exclusive and irrevocable right to use this Feedback in any manner, including commercial use.
11.1.2. The right to implement suggestions in products and services without obligation to mention the author or pay compensation.
11.1.3. The right to adapt, modify, rework and publish Feedback as part of Promtheon's analytical and marketing materials.
12.1. The user bears full responsibility for their use of the Service and undertakes to indemnify, defend and hold harmless:
12.1.1. Promtheon company, its employees, representatives and partners —
12.1.2. From any claims, lawsuits, fines, expenses or losses arising from:
12.2. In case of a dispute, Promtheon has the right to independently defend its interests, and the user is obligated to assist the company in this process.
13.1. The Service is provided "as is" and "as available", without any express or implied warranties.
13.2. Promtheon and its partners do not guarantee that:
13.2.1. The Service will operate without errors, interruptions, viruses or vulnerabilities.
13.2.2. AI results will be accurate, complete or reliable.
13.2.3. All defects will be corrected in a timely or complete manner.
13.3. All decisions made by the user based on Service data are made at their own risk.
13.4. Promtheon is not responsible for any damage, including loss of data, profits, reputation or performance, caused by use of the Service.
13.5. In jurisdictions where disclaimer of warranties is limited by law, the provisions of this section apply to the maximum extent permitted.
14.1. Under no circumstances shall Promtheon or its representatives be liable to the user for:
14.1.1. Indirect, incidental, consequential or punitive damages, including loss of profits, data or reputation.
14.1.2. Inability to access or use the Service.
14.1.3. Service failures, AI model errors or incorrect results of their operation.
14.1.4. Actions of third-party API providers, services and payment systems.
14.2. Promtheon's aggregate liability for any claims is limited to:
14.2.1. The amount paid by the user in the last 12 months, or
14.2.2. The equivalent of 100 US dollars — whichever amount is higher.
15.1. These Terms are governed by the laws of Ukraine.
15.2. All disputes arising in connection with the use of the Service are subject to consideration by the courts of Ukraine at the place of registration of the legal entity:

15.3. By using the Service, the user confirms agreement with the specified jurisdiction and dispute resolution procedure.
16.1. These Terms, together with the Privacy Policy and Additional Terms, constitute the complete agreement between the user and Promtheon.
16.2. Promtheon has the right to transfer its rights and obligations to third parties without notifying the user.
16.3. The user has no right to assign their rights without the written consent of Promtheon.
16.4. The invalidity of one provision does not affect the validity of the others.
16.5. Section headings are used for convenience only and do not affect the interpretation of the Terms.
16.6. Provisions relating to confidentiality, limitation of liability and dispute resolution remain legally binding after termination of the agreement.
17.1. All disputes, claims and disagreements, the parties undertake to first resolve through pre-trial settlement.
17.2. If no agreement is reached within 30 calendar days, the dispute shall be subject to arbitration in accordance with Ukrainian legislation.
17.3. Arbitration is conducted on the territory of Ukraine, in accordance with the Law of Ukraine "On Arbitration Courts" or the Commercial Procedural Code of Ukraine.
17.4. The arbitrator's decision is final and subject to execution in the prescribed manner.
17.5. By accepting these Terms, the user:
17.5.1. Waives class actions and jury trials.
17.5.2. Agrees to individual dispute resolution.
17.5.3. May only go to court to protect intellectual property rights or seek interim measures.
17.6. Before filing a lawsuit, a party must send the other party a written notice (claim) containing:
1. Description of the dispute and grounds for claims.
2. Requested remedy.
3. Sender's contact information.
17.7. Notice is sent by registered mail or to e-mail: support@promtheon.io,
or to the address:

17.8. If the parties do not reach an agreement within 30 days, either party may initiate arbitration.
17.9. Proceedings may be conducted in person, remotely or in writing, in Ukrainian or Russian language.
17.10. Each party bears its own costs, including payment for representatives' services and arbitration fees.
17.11. The arbitrator may impose payment of costs on the losing party.
17.12. All disputes are considered exclusively individually — consolidation of claims is not permitted.
17.13. Promtheon reserves the right to change the arbitration procedure by notifying users at least 30 days before the changes take effect.
17.14. If any provision of this section is found invalid, the others remain in force.
In such case, section 15 of these Terms applies — disputes are considered by the courts of Ukraine.
18.1. By using the Service, the user agrees to receive electronic notifications, legal notices, agreements, invoices and other information from Promtheon.
18.2. Such notifications are sent by e-mail, through the Service interface or other digital communication channels.
18.3. Electronic notifications have legal force equivalent to written documents, in accordance with Ukrainian legislation.
18.4. The user may opt out of receiving marketing messages, however notifications related to security and changes to terms are mandatory and cannot be disabled.
19.1. The Service is provided by the company:
